Terms of Service

These Terms of Service ("Terms") are the agreement between you ("you" or "User") and HHS Holding B.V., operator of EcomBase at ecombase.ai ("EcomBase", "we", "us"), governing your use of the EcomBase platform and any related services (together, the "Service"). By creating an account or using the Service you agree to these Terms.

1. The Service

EcomBase is a software-as-a-service platform that helps e-commerce operators connect their Shopify stores and ad accounts (Meta, Google, Pinterest, TikTok), generate creative assets with AI, plan launches, analyse profitability, and collaborate with teammates.

We may add, change or remove features from time to time. Significant removals will be announced in-app or by email at least 30 days in advance.

2. Your account

• You must be at least 16 years old and legally able to enter into a contract.
• You sign in with Google. Keep your Google account secure — activity under your account is your responsibility.
• If you connect a shop or ad platform, you represent that you have the authority to do so on behalf of the relevant business.
• You're responsible for managing team members and invitations within your workspace.

3. Acceptable use

You will not:

• Use the Service to violate any law, infringe intellectual property, or generate content that is hateful, sexually explicit involving minors, defamatory, or intended to deceive consumers;
• Reverse engineer, scrape, or stress-test the Service; rate limits apply and will be enforced;
• Resell access to the Service, wrap it in a competing product, or use it to train a competing model;
• Upload malware or attempt to circumvent access controls, tenancy separation, or billing;
• Violate the terms of any connected third-party platform (Shopify, Meta, Google, Pinterest, TikTok) — their terms apply in parallel to these.

We may suspend or terminate accounts that breach these rules, with or without notice, at our reasonable discretion.

4. Your content & your data

You retain all rights to the products, images, ad copy, business plans and any other content you upload or generate through the Service ("Customer Content").

You grant EcomBase a worldwide, non-exclusive, royalty-free license to host, process, transmit and display Customer Content solely as needed to provide the Service to you (for example, storing a generated image, showing it in the Ad Library, synchronising it to Meta on your instruction).

You are responsible for the legality of the Customer Content you upload and for obtaining any necessary consents from people depicted in it.

5. AI-generated output

• AI outputs (ad creatives, copy, analyses, recommendations) are generated by third-party models. They may be inaccurate, out-of-date, or unsuitable for your use case — review before publishing.
• You are responsible for compliance with advertising laws and platform policies for any AI-generated content you choose to run.
• To the extent allowed by law, ownership of AI outputs transfers to you upon generation; EcomBase does not claim copyright in the output.

6. Third-party services

EcomBase integrates with third-party platforms (Shopify, Meta, Google, Pinterest, TikTok, among others). Those platforms have their own terms that you must separately accept. We are not responsible for outages, policy changes or data loss at those platforms.

7. Subscription & fees

Access to the Service may be provided under a free plan, a paid subscription, or a pilot arrangement agreed in writing. Fees, if applicable, are listed on your billing page and payable in advance by credit card.

• Subscriptions renew automatically for the same period unless cancelled at least one day before the renewal date.
• Fees are exclusive of VAT, which is added where required by Dutch law.
• Refunds are at our discretion, except where required by consumer law.

8. Intellectual property

Excluding Customer Content, the Service, the EcomBase brand and all underlying software are owned by HHS Holding B.V. or its licensors. These Terms grant you a limited, non-transferable, non-exclusive right to use the Service — no other rights are granted.

9. Privacy

Our Privacy Policy explains how we process personal data. By using the Service you agree to the processing described there. When the Service processes personal data on your behalf (e.g. Shopify customer records), the Data Processing Addendum embedded in the Privacy Policy section 2 applies.

10. Suspension & termination

You can terminate your account at any time:

• From within the app: Settings → Danger zone → "Delete account".
• By email to info@hhsholding.com.

We may suspend or terminate your access if you breach these Terms, fail to pay fees, or if continuing to serve you would violate the law. We will try to give reasonable notice unless the breach is severe or urgent.

On termination, we stop providing the Service, delete your account data within 30 days (see Privacy Policy section 8) and any unpaid fees become immediately due.

11. Warranty disclaimer

The Service is provided "as is" and "as available". To the maximum extent permitted by law, EcomBase disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI outputs will be accurate.

12. Limitation of liability

To the maximum extent permitted by law, EcomBase's total aggregate liability for any claim arising out of or relating to the Service is limited to the greater of: (a) the fees you paid in the 12 months preceding the event giving rise to the claim, or (b) €100.

We are not liable for indirect, incidental, special, consequential or punitive damages, including lost profits, lost revenue, lost customers or lost ad spend, even if we were advised of the possibility.

Nothing in these Terms excludes liability that cannot be excluded under applicable law (for example, gross negligence or willful misconduct).

13. Indemnity

You agree to indemnify and hold EcomBase harmless from any claim by a third party arising out of (a) your Customer Content, (b) your use of the Service in breach of these Terms, or (c) your violation of a third party's rights.

14. Governing law & disputes

These Terms are governed by the laws of the Netherlands. The competent courts of Amsterdam have exclusive jurisdiction over any dispute arising from these Terms, without prejudice to mandatory consumer protections in your place of residence.

15. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent version. For material changes we will notify Users in-app or by email at least 14 days before they take effect. Continued use after the effective date is acceptance of the new Terms.
